1. Acceptance of Terms
By submitting a request through automationelves.com and authorizing payment, you agree to these Terms of Service. If you do not agree to these terms, please do not submit a request or provide payment information.
These terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Zero to MVP ("we," "us," "our," "the elves," or "Automation Elves").
2. Service Description
What We Provide
Automation Elves is a limited-time campaign offering one-time automation builds. Each automation includes:
- One trigger event (e.g., "when a form is submitted," "when payment is received")
- Up to three (3) sequential or parallel actions
- Integration with up to two (2) third-party tools or services
- Simple data mapping and transformation between tools
- Preview with test data before production deployment
- 30 days of proactive monitoring from delivery date
- Unlimited revisions within the original scope
- One 30-minute strategy call after delivery
- Private status page to track your automation's progress
What We Don't Provide
The following are explicitly outside the scope of this service:
- Automations requiring more than two (2) tools
- Automations with more than three (3) actions
- Complex conditional logic with multiple "if-then-else" decision trees
- Browser automation, web scraping, or headless browser operations
- Custom API development or webhook creation
- Data migration or bulk historical data processing
- Ongoing maintenance beyond the 30-day monitoring period
- Changes to the automation scope after approval (this requires a new request)
Service Availability
This campaign operates from December 8, 2024, through December 31, 2024, at 11:59 PM Eastern Time. All requests submitted by the deadline will be completed, even if delivery extends into January 2025.
After December 31, 2024, automationelves.com will redirect to taskforce.tech. No new requests will be accepted after this date.
3. Pricing and Payment
Pricing Structure
Pricing follows a graduated ladder based on total campaign signups:
- Signups 1-10: $149
- Signups 11-20: $199
- Signups 21-30: $249
- Signups 31-40: $299
- Signups 41-50: $349
- Signups 51+: $399
The price displayed at the time of your submission is the price you will pay if your request is approved. Price increases are not retroactive.
Payment Authorization and Capture
We use Stripe for payment processing with a two-step authorization flow:
- Authorization: When you submit your request, your payment method is authorized (funds are held) but not charged. This hold typically lasts 7 days per Stripe's policies.
- Scope Review: We review your request within 4 hours (typically faster).
- Capture or Release:
- If in scope: Authorization is captured (you are charged) and you enter the build queue
- If out of scope: Authorization is released (no charge occurs)
- If clarification needed: Authorization remains while we communicate (up to 7 days)
What You're Paying For
Your payment covers:
- Scope review and feasibility assessment
- Complete automation build by senior engineers
- Testing with sample data
- Preview video walkthrough
- Production deployment after your approval
- 30 days of proactive monitoring and error fixes
- Unlimited revisions within the original scope
- One 30-minute strategy call
4. Scope Review Process
Initial Review
Within 4 hours of submission (typically much faster), we will review your request and determine if it fits within the service scope. You will receive one of three responses:
- Approved: Your request is in scope. Payment is captured and you enter the build queue.
- Clarification Needed: We need more information. Authorization remains held while we communicate.
- Out of Scope: Your request exceeds what we can deliver for this offer. Authorization is released and you are not charged. We will explain why and suggest alternatives.
Scope Determination
Scope approval is at our sole discretion based on technical feasibility, tool compatibility, complexity, and available resources. Our determination is final, though we will always provide clear reasoning and alternatives.
Communication During Review
If we need clarification, we will contact you via the email address provided. Your authorization remains valid for up to 7 days (Stripe's limitation). If we cannot reach you or receive clarification within this timeframe, the authorization will automatically expire and no charge will occur.
5. Queue and Delivery
Queue Position
Once approved, you receive a private status page showing your queue position and estimated delivery date. Estimates are based on:
- Current queue depth
- Average build velocity (2-5 automations per business day)
- Complexity of queued automations
Delivery Estimates
Current estimates by queue position:
- Positions 1-3: 1-2 business days
- Positions 4-6: 2-3 business days
- Positions 7-10: 3-4 business days
- Positions 11-15: 4-5 business days
- Positions 16-20: 5-7 business days
- Position 21+: 7+ business days
These are estimates, not guarantees. Actual delivery may be faster or slower based on technical complexity and queue conditions.
Delivery Delays
Delivery time pauses if we are waiting on you for:
- Tool access credentials or API keys
- Answers to clarifying questions
- Preview approval
- Response to any request for information
If you do not respond within 7 days, see Section 9 (Unresponsiveness Policy).
Force Majeure
We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to:
- Third-party service outages (Stripe, tool providers, hosting services)
- Third-party API shutdowns, deprecations, or service terminations
- Natural disasters, pandemics, or other acts of God
- Cyberattacks, malware, or security incidents
- Government actions, regulations, or sanctions
- Internet, telecommunications, or power failures

6. Tool Access and Security
Required Access
To build your automation, you must provide access to the tools being integrated. This typically means:
- API keys or access tokens
- OAuth application approvals
- Service account credentials
- Webhook endpoints (if needed)
Scope of Access
We will request the minimum permissions necessary to build your automation. For example:
- Read-only access where only reading data is required
- Write access only to specific resources (e.g., "create tasks" but not "delete projects")
- Scoped API keys limited to specific endpoints
Security Practices
We handle your credentials with the following security measures:
- All credentials stored encrypted at rest in our secure database (RavenDB)
- Credentials never exposed in logs or error messages
- Access limited to engineers actively working on your automation
- Credentials deleted upon request or after 30 days if automation is discontinued
Your Responsibility
You are responsible for:
- Creating credentials with appropriate scope (we will provide guidance)
- Rotating credentials after delivery if your security policy requires it
- Notifying us if credentials are compromised so we can update the automation
- Ensuring you have authorization to grant us access to the tools in question
7. Preview and Approval
Preview Requirement
Before deploying any automation to production, we will provide:
- A video walkthrough showing the automation in action
- Test data demonstrating the trigger and resulting actions
- Explanation of what happens in each step
Your Approval
You must explicitly approve the automation before we deploy it to production. Approval can be given:
- Via your private status page ("Approve & Go Live" button)
- Via email response to the preview notification
Approval Constitutes Acceptance
By approving the preview, you acknowledge that:
- You have reviewed the automation's behavior
- The automation performs as described in the original request
- You understand what data will be read and written
- You accept responsibility for the automation running in your production environment
Revisions Before Approval
If the preview does not meet your expectations, you can request revisions. This is unlimited within the original scope. For example:
- In scope: "Please also include the customer email in the Slack message" (adding a field)
- Out of scope: "Actually, send this to Airtable instead of Slack" (changing the tool or action)
Out-of-scope changes require a new request or may be accommodated as a courtesy depending on complexity and queue depth.
8. Monitoring and Support
30-Day Monitoring Period
From the date your automation goes live, we proactively monitor for:
- Execution errors or failures
- API rate limits or authentication issues
- Data format changes from tool providers
- Performance degradation
What We Fix
During the monitoring period, we will fix at no additional cost:
- Bugs in our automation logic
- Breaks caused by tool API changes
- Authentication or credential issues
- Performance problems we can control
What We Don't Fix
We are not responsible for issues caused by:
- Changes you make to your tool configurations (e.g., changing field names in Airtable)
- Account suspensions or service interruptions from third-party providers
- Exceeding rate limits of third-party APIs
- Data quality issues in your source systems
After 30 Days
After 30 days, your automation will stop running unless you choose one of these options:
- Keep it running: $29/month for continued hosting and maintenance of the automation we built for you during this campaign.
- Upgrade to TaskForce: $999/month for unlimited automations with ongoing maintenance—the better choice if you're getting value from automation.
As an Automation Elves customer, you qualify for all TaskForce services and offers.
9. Revisions and Scope Changes
Unlimited Revisions (Within Scope)
We offer unlimited revisions within the original approved scope. This means:
- Adjusting which data fields are included
- Changing message formatting or templates
- Fixing bugs or unexpected behavior
- Refining conditional logic that was part of the original request
Out-of-Scope Changes
The following are considered new requests and are not covered by unlimited revisions:
- Changing the trigger event
- Adding or changing tools (e.g., swapping Slack for email)
- Adding new actions beyond the original three
- Adding complex conditional logic not in the original request
Requesting Revisions
Revision requests can be made:
- Before approval: Reply to the preview email or status page
- After go-live: Email hello@automationelves.com within the 30-day monitoring period
10. Unresponsiveness Policy
If we cannot reach you for information required to complete your automation, the following process applies:
Communication Attempts
- Day 0: Initial request for information sent via email
- Day 3: First follow-up reminder
- Day 5: Second follow-up reminder
- Day 7: Final notice with 48-hour deadline
After 7 Days
If we do not receive a response within 7 days of our initial request (and after at least 3 contact attempts), we reserve the right to:
- Mark your automation as "delivered" (even if incomplete)
- Close the request with no refund
- Move to the next customer in queue
Resuming After Closure
If you contact us after your request has been closed for unresponsiveness, we will attempt to resume work if resources permit. However, you will be placed at the end of the current queue. No refund or compensation for delay will be provided.
11. Refund Policy
Full Refund Scenarios
You are entitled to a full refund if:
- Out of Scope: We determine your request cannot be completed within the service scope. (Authorization released before capture; you are never charged.)
- Technical Limitation: We discover mid-build that the automation is not feasible due to tool limitations or API restrictions we couldn't foresee.
Partial Refund Scenarios
Customer Cancellation Mid-Build: If you cancel your request after we've started building (status shows "Building"), you are entitled to a 50% refund. This compensates for the work already completed.
No Refund Scenarios
No refund is provided if:
- Delivered and Working: The automation has been delivered, approved by you, and is functioning as described. (You have unlimited revisions instead.)
- Unresponsive: You do not respond to requests for information for 7+ days after 3 contact attempts. (See Section 10.)
- Scope Change Request: You request changes outside the original scope after delivery. (This requires a new paid request.)
Refund Process
Approved refunds are processed within 5-7 business days to your original payment method via Stripe. Bank processing times may add additional delay.
Disputes
If you believe you are entitled to a refund and we have declined, please email hello@automationelves.com with your reasoning. We will review and respond within 2 business days.
12. Intellectual Property
Our Property
We retain all rights to:
- Our automation platform and infrastructure
- Generic automation templates and patterns
- Our documentation and methodologies
- The Automation Elves and TaskForce brands and trademarks
Your Property
You retain all rights to:
- Your business data and content
- Your business processes and methods
- Your branding and trademarks
- Confidential information you provide
Custom Automation Workflows
For automations we build for you:
- Your Ownership: You own your business process documentation and specifications you provide. However, you do not own workflow logic or configurations based on our templates, frameworks, or methodologies.
- Your Data: You retain all ownership rights to your business data processed by the automations.
- Our Ownership: We retain all ownership rights to:
- Reusable code components, libraries, templates, and frameworks
- Generic automation patterns, methodologies, and best practices
- Any improvements or derivative works to our platform
- License to You: You receive a perpetual, non-exclusive, non-transferable license to use the automation workflows and configurations we build for you. This license continues as long as you maintain an active hosting arrangement (included free for 30 days, then $29/month).
- Reuse of Generic Patterns: We may reuse generic automation patterns and techniques for other clients, provided we do not share your specific implementations or proprietary business logic.
- Effect of Termination: If you discontinue hosting, your license to the automation configurations terminates. You retain ownership of any business logic documentation or specifications you independently created.
Third-Party Tools
The tools being integrated (Slack, Shopify, Stripe, etc.) remain the intellectual property of their respective owners. We do not grant any rights to these tools; you must have your own licenses and accounts.
Open Source Components
Our automations may use open-source libraries and frameworks. These components retain their original licenses (typically MIT, Apache 2.0, or similar permissive licenses).
Feedback
Any feedback or suggestions you provide may be used by us without obligation to you.
13. Showcase and Marketing
Default Permission
By submitting a request, you grant us permission to share an anonymized description of your automation, including:
- Industry or business type (e.g., "E-commerce," "Agency," "SaaS")
- Automation type (e.g., "Order placed -> Slack + Sheet")
- Tools involved (e.g., "Shopify, Slack, Google Sheets")
This is displayed on the public dashboard and in marketing materials. Your company name is NOT included unless you explicitly opt in.
Named Showcase (Opt-In)
During signup, you can opt in to let us use your company name when showcasing your automation. If you opt in, we may include:
- Your company name
- Your company logo (with your approval)
- Brief description of what you do
- Details of the automation we built
Case Study (Opt-In)
You can also opt in to being considered for a case study. If selected, we will contact you after delivery to request:
- Interview or written responses about your experience
- Metrics on time saved or value created
- Permission to publish your testimonial
Case study participation is voluntary and can be declined at any time.
Opt-Out
If you opted in and later wish to opt out, email hello@automationelves.com. Upon opt-out:
- We will stop using your company name and information in new marketing materials
- Materials already published (website testimonials, social media posts, case studies) may remain as they were created under the license you granted
- We will make reasonable efforts to update or remove your information from materials we can easily modify (such as our website)
To request removal of specific published materials, contact us and we will review on a case-by-case basis.
14. Warranties and Disclaimers
Service Provided "As Is"
To the fullest extent permitted by law, Automation Elves and Zero to MVP provide this service "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied.
No Guarantee of Outcomes
We build automations based on the information you provide and test with sample data. However, we do not guarantee:
- Specific time savings or ROI from your automation
- 100% uptime or error-free operation
- Compatibility with future changes to third-party tool APIs
- That your automation will meet your business needs (you approve the preview before deployment)
Third-Party Services
Your automation relies on third-party services (Stripe, Slack, Shopify, etc.). We have no control over:
- Service availability or uptime
- API changes or deprecations
- Rate limits or usage restrictions
- Pricing changes or account suspensions
We will make reasonable efforts to update automations for API changes during the 30-day monitoring period, but we cannot guarantee uninterrupted service.
Disclaimer of Warranties
We specifically disclaim all warranties, including but not limited to:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Title
Some jurisdictions do not allow the exclusion of implied warranties, so these exclusions may not apply to you.
15. Limitation of Liability
Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR AUTOMATION.
This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, or any other theory.
Excluded Damages
WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Lost profits or revenue
- Loss of data or information
- Loss of business opportunities
- Cost of substitute services
- Business interruption
- Reputational harm
- Third-party service failures
- Damages from service interruptions
This applies even if we were advised of the possibility of such damages.
Exceptions
These limitations do not apply to:
- Claims arising from our gross negligence or willful misconduct
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded or limited under applicable law
Scenarios We Are Not Liable For
We are not liable for issues caused by:
- Inaccurate or incomplete information provided in your request
- Changes you make to tool configurations after deployment
- Third-party service outages, API changes, or rate limits
- Your failure to review and approve the preview
- Data quality issues in your source systems
- Unauthorized access to your accounts or credentials (unless caused by our negligence)
- Automation errors, bugs, or unexpected behavior (you are responsible for testing before approval)
Jurisdictional Variations
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
16. Indemnification
Your Indemnification of Us
You agree to defend, indemnify, and hold harmless Zero to MVP, Automation Elves, and our officers, directors, employees, contractors, agents, affiliates, and service providers (collectively, "Zero to MVP Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees and legal costs, arising out of or in any way connected with:
- Your use or misuse of the automation we build for you
- Your breach or violation of these Terms of Service
- Your violation of any applicable laws, regulations, or third-party rights, including but not limited to:
- Intellectual property rights (copyrights, trademarks, patents, trade secrets)
- Privacy rights or data protection laws (GDPR, CCPA, etc.)
- Terms of service of integrated third-party platforms (Slack, Shopify, etc.)
- Anti-spam or telecommunications laws
- Any data, content, or materials you provide to us or process through the automation
- Inaccurate or misleading information you provided in your request
- Claims that materials you provided to us infringe or misappropriate third-party rights
- Any negligent or wrongful conduct by you
- Any disputes between you and third parties arising from your use of the automation
Procedure
If we seek indemnification, we will:
- Notify you promptly of the claim
- Provide you reasonable cooperation in defending the claim
- Allow you to control the defense and settlement (with our consent for any settlement that affects us)
You agree to notify us within 5 business days of any claims or potential claims that may trigger your indemnification obligations under this Section.
Exceptions to Indemnification
You are not required to indemnify Zero to MVP for claims to the extent caused by:
- Our gross negligence or willful misconduct
- Our breach of these Terms
- Defects in our Services
- Our violation of applicable laws or regulations
17. Data and Privacy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, available at automationelves.com/privacy-policy.
Data We Access
To build your automation, we may access:
- Data from your source tools (to understand structure and test)
- Sample data you provide
- Tool API documentation and schemas
Data We Store
We store:
- Your email address, company name, and request details
- Tool credentials (encrypted)
- Automation configuration and code
- Execution logs (for monitoring and debugging)
Data Retention
We retain your data for:
- Active automations: Duration of your active subscription
- After termination: 30 days, then deleted unless you subscribe to extended monitoring
- Support communications: 3 years for quality assurance and dispute resolution
- Email communications: Duration of the business relationship plus 2 years
- Financial records: 7 years (US) or 10 years (EU/Greece) for tax and accounting compliance
Your Rights
You have the right to:
- Request access to your data
- Request correction of inaccurate data
- Request deletion of your data (subject to legal retention requirements)
- Opt out of marketing communications

Data Processing Agreement (GDPR Compliance)
This Section constitutes our Data Processing Agreement (DPA) and satisfies the requirements of GDPR Article 28. By accepting these Terms, you accept these data processing terms.
Scope and Roles:
- You are the Data Controller for customer business data processed through your automations
- We are your Data Processor acting only on your documented instructions
Our Obligations as Data Processor:
(a) Processing Instructions: We process personal data only as instructed by you through your use of the Services, as necessary to provide the Services, or as required by applicable law.
(b) Confidentiality: All personnel with access to personal data are bound by confidentiality obligations.
(c) Security Measures: We implement appropriate technical and organizational measures including:
- Encryption in transit (TLS 1.2+) and at rest (AES-256)
- Access controls and authentication
- Regular security assessments
- Employee training and confidentiality agreements
(d) Subprocessors: We use subprocessors listed in our Privacy Policy. We will notify you at least 30 days in advance of adding or replacing infrastructure subprocessors, giving you the opportunity to object.
(e) Data Subject Rights: We will assist you in responding to data subject requests (access, rectification, erasure, restriction, portability, objection) by providing relevant information and technical capabilities.
(f) Security Incidents: We will notify you without undue delay after becoming aware of a personal data breach, and in any event within 72 hours when feasible.
(g) Data Deletion: Upon termination of the Services, we will delete or return all personal data within 30 days, unless applicable law requires continued storage.
(h) Audits: We will make available information necessary to demonstrate compliance with Article 28 GDPR and allow for audits upon reasonable notice.
International Data Transfers: All data is processed in the EU (Germany). For subprocessors outside the EU/EEA, we use Standard Contractual Clauses (SCCs) approved by the European Commission.
Transfer Impact Assessment: For subprocessors located in third countries without an adequacy decision, we conduct Transfer Impact Assessments (TIAs) as required by GDPR and implement supplementary technical measures including encryption in transit and at rest.
Your Responsibilities as Data Controller:
- Ensuring you have a lawful basis to process personal data
- Obtaining necessary consents and providing privacy notices
- Responding to data subject requests (we will assist as required)
- Conducting Data Protection Impact Assessments where required
18. Termination
Your Right to Terminate
You may cancel your request at any time before delivery by emailing hello@automationelves.com. Refund eligibility is determined by the refund policy (Section 11).
Our Right to Terminate
We may terminate your request and issue a refund if:
- You are unresponsive for 7+ days (see Section 10)
- You violate these Terms of Service
- You engage in abusive or threatening behavior toward our team
- We determine the automation is technically infeasible
Effect of Termination
Upon termination:
- Your automation (if live) will continue to run for 30 days, then be deactivated
- We will provide you with configuration details so you can rebuild elsewhere if desired
- Tool credentials will be deleted from our systems within 7 days
- Your data will be deleted per our retention policy (Section 17)
19. Dispute Resolution
Informal Resolution
Before initiating any formal dispute resolution process, you agree to first attempt to resolve any dispute, claim, or controversy arising from or relating to these Terms or the Services (each, a "Dispute") by contacting us at hello@automationelves.com. We will work in good faith to resolve Disputes informally within 30 days.
Binding Arbitration
If informal resolution fails, you agree that any Dispute will be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), as modified by these Terms.
- Initiating Arbitration: A party may initiate arbitration by filing a demand with AAA and providing notice to the other party
- Arbitrator Selection: One arbitrator will be selected in accordance with AAA rules
- Location: Arbitration will be conducted remotely via videoconference, unless both parties agree otherwise
- Costs: Each party bears its own attorneys' fees; AAA fees will be split equally unless the arbitrator determines otherwise
- Awards: The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction
Small Claims Court
Either party may bring an individual action in small claims court in lieu of arbitration if the claim qualifies for small claims court jurisdiction.
Class Action Waiver
You agree to resolve Disputes with us on an individual basis only. You waive any right to:
- Participate in a class action, class arbitration, or representative action
- Act as a class representative or class member in any class action
- Consolidate your Dispute with other disputes
This class action waiver is an essential part of this arbitration agreement. If this waiver is found unenforceable, the entire arbitration agreement in this Section 19 is void, and Disputes will be resolved in court.
Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to hello@automationelves.com within 30 days of accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, all other Terms still apply, but Disputes will be resolved in court.
Governing Law and Jurisdiction
These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
If arbitration does not apply (due to opt-out, small claims court, or invalidity), you agree that any Dispute will be resolved exclusively in the state or federal courts located in Delaware, United States. You consent to personal jurisdiction in these courts.
Statute of Limitations
Any Dispute must be filed within one (1) year after the Dispute arises, or it is permanently barred, to the extent permitted by applicable law.
Injunctive Relief
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.
20. General Provisions
Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Zero to MVP regarding this service. They supersede any prior agreements or understandings.
Modifications to Terms
We may update these terms during the campaign period if necessary for legal compliance or material service changes. If we do, we will:
- Update the "Last Updated" date at the top
- Email all active customers with pending or in-progress automations
- Post a notice on the website for 30 days
Continued use of the service after changes constitutes acceptance. If you do not agree to the changes, you may cancel your request per Section 18.
Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.
Assignment
You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations to any successor entity (e.g., in the event of a merger or acquisition).
Force Majeure
Neither party is liable for delays, failures, or non-performance of obligations under these Terms caused by events beyond reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, fires, storms, pandemics)
- War, terrorism, civil unrest, or government action
- Labor disputes, strikes, or workforce unavailability
- Failures of third-party infrastructure providers (cloud hosting, internet backbones)
- Third-party API shutdowns, deprecations, or service terminations
- Cyberattacks, malware, ransomware, or security incidents affecting our infrastructure or critical service providers
- Power outages, telecommunications failures, or utility disruptions
- Government regulations, sanctions, or legal restrictions preventing performance
The affected party will provide prompt notice of any force majeure event and make reasonable efforts to resume performance as soon as practicable. If a force majeure event prevents service delivery for more than 30 consecutive days, either party may terminate this agreement without penalty.
Survival
Provisions that by their nature should survive termination (including Sections 12, 14, 15, 16, 17, and 19) will survive termination of these Terms of Service.
